Welcome to MV Digital Tools LLC ("we," "our," or "us"). By accessing or using our website, digital goods, software-as-a-service (SaaS) applications, or B2B retainer services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

1. Eligibility & Accounts

Age Requirement: You must be at least 18 years old or the legal age of majority in your jurisdiction to use our Services.
Account Security: When you create an account with us, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at admin@mvdigital.tools if you suspect any unauthorized use of your account.

2. Subscription Terms, Billing, & Payments

Billing Cycle: Subscriptions are billed on a recurring monthly or annual basis, as specified at the time of purchase.
Payment Processing: We utilize third-party payment processors, including Paddle.com, which acts as our Merchant of Record. By subscribing, you agree to comply with their respective buyer terms and authorize recurring charges to your chosen payment method.
Price Adjustments: We reserve the right to change our subscription fees upon reasonable notice. Any price changes will apply to the next billing cycle following the notice.
Failed Payments: If a recurring payment fails, we reserve the right to suspend or terminate your access to the relevant Service until billing issues are resolved.

3. Acceptable Use Policy

You agree not to use our Services, code kits, frameworks, or software platforms to:

Violate any local, national, or international laws or regulations.
Reverse-engineer, decompile, or attempt to extract the source code of our proprietary platforms unless explicitly permitted under a developer license.
Deploy bots, scrapers, or automated systems that abuse API rate limits or disrupt network infrastructure.
Generate or distribute unauthorized deepfakes, non-consensual synthetic media, or unauthorized voice/likeness impersonations.
Circumvent or attempt to bypass any security measures, licensing restrictions, or digital rights management protocols we employ.

4. Intellectual Property Rights

Our Intellectual Property: All content, software, code repositories, UI elements, prompt frameworks, logic, logos, and digital designs provided through our Services are the exclusive property of MV Digital Tools LLC or our licensors and are protected by copyright and intellectual property laws.
License Grants:
- For Asset Purchases (UI Kits, Component Libraries, Prompt Vaults): We grant you a limited, non-exclusive, non-transferable, revocable license to use, modify, and integrate the code or prompts into your personal or commercial projects. You may not resell, redistribute, or white-label the raw files or frameworks themselves.
- For SaaS Platforms: We grant you a non-exclusive, non-transferable right to access and use the software interface during your active subscription period.

5. Termination & Suspension

We reserve the right to suspend or terminate your account and block access to our Services immediately, without prior notice or liability, if you breach these Terms, engage in behavior that exposes us to legal or financial risk, or violate our billing policies. Upon termination, your right to use the Services ceases immediately.

6. Disclaimers & "As-Is" Provision

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MV DIGITAL TOOLS LLC DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR DO WE MAKE ANY WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY OUTPUT GENERATED BY OUR AUTOMATED CRITERIA. YOU USE OUR SERVICES AND SOFTWARE AT YOUR OWN RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MV DIGITAL TOOLS LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR INABILITY TO ACCESS THE SERVICES; (II) ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICES; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MV Digital Tools LLC is registered, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located within that jurisdiction.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by updating the "Effective Date" at the top of this document or via email. Your continued use of the Services after revisions become effective indicates your agreement to the updated Terms.
